1. Acceptance of Terms
Ukemi Health Partners ("Ukemi," "we," "us," or "our") owns and operates ukemihealthpartners.com and related digital services (collectively, the "Site"). By accessing or using the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
We may update these Terms at any time. Changes are effective upon posting. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
2. Description of Services
Ukemi Health Partners provides movement education, fall reflex training, and biomechanics programming for adults 55+ and partnering organizations. Our Site allows visitors to:
- Learn about our programs and the Protection Pathway methodology
- Submit contact and inquiry forms
- Sign up for our email newsletter and communications
- Schedule sessions or events through our online booking system
- Complete participant surveys and digital waivers
- Make payments for programs and services
3. User Conduct
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You may not:
- Submit false, misleading, or fraudulent information
- Attempt to gain unauthorized access to any portion of the Site or its systems
- Use automated tools (bots, scrapers, spiders) to extract content from the Site
- Transmit viruses, malware, or other harmful code
- Impersonate any person or entity, including Ukemi staff or affiliates
- Use the Site in any way that could damage, disable, or impair our systems
We reserve the right to suspend or terminate your access to the Site at our sole discretion for any violation of these Terms.
4. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, photographs, video, program materials, the Protection Pathway curriculum, and the Ukemi Health Partners name and brand — is the exclusive property of Ukemi Health Partners or its licensors and is protected by U.S. copyright, trademark, and other intellectual property laws.
You may view and print a single copy of Site content for personal, non-commercial reference only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written permission.
The Ukemi Health Partners name, logo, and Protection Pathway are proprietary marks of Ukemi Health Partners. Unauthorized use is prohibited.
5. User Submissions
When you submit content to us — including form responses, testimonials, survey answers, or feedback — you grant Ukemi Health Partners a non-exclusive, royalty-free, perpetual license to use, reproduce, and display such content in connection with our programs and marketing, unless you expressly request otherwise in writing.
You represent that any submission is accurate, is your own original content, and does not violate the rights of any third party. Do not submit confidential information through public-facing forms.
6. Third-Party Links and Services
The Site may contain links to third-party websites, scheduling platforms, payment processors, or other external services. These links are provided for convenience only. Ukemi Health Partners does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party site.
Your use of any third-party service is governed by that service's own terms and privacy policies. We encourage you to review those policies before providing personal information.
7. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UKEMI HEALTH PARTNERS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. We reserve the right to modify or discontinue the Site at any time without notice.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY VIRGINIA LAW, IN NO EVENT SHALL UKEMI HEALTH PARTNERS, ITS OWNERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UKEMI HEALTH PARTNERS IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some Virginia jurisdictions do not allow certain limitations of liability; in such cases, the foregoing limitations apply to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Ukemi Health Partners and its owners, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your submission of false or misleading information; or (d) your violation of any applicable law or third-party right.
10. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Prince William County, Virginia, and the laws of the Commonwealth of Virginia shall apply.
Class Action Waiver: You agree to resolve any disputes on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding.
Jury Waiver: Both parties waive any right to a jury trial for any dispute subject to arbitration.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent irreparable harm pending arbitration. Claims eligible for small claims court may be brought in Prince William County General District Court.
11. Governing Law & Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Prince William County, Virginia.
12. General Provisions
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
Entire Agreement
These Terms, together with our Privacy Policy and any signed participant waivers, constitute the entire agreement between you and Ukemi Health Partners regarding the Site and supersede all prior understandings.
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment
We may assign our rights and obligations under these Terms without notice. You may not assign your rights under these Terms without our prior written consent.

2. How We Use Your Information

3. Health Information

We are not a HIPAA-covered entity. While we handle health-related information responsibly, our services do not constitute medical care, and this Site is not subject to the Health Insurance Portability and Accountability Act (HIPAA).

We do not sell, rent, or trade your personal information. We may share information with:

5. Data Retention
We retain your personal information for as long as necessary to fulfill the purposes outlined in this Policy, maintain accurate program records, and comply with applicable legal obligations. Signed participant waivers are retained for a minimum of seven (7) years. You may request deletion of your information subject to any legal retention requirements (see Section 8).
6. Cookies & Tracking
Our Site uses cookies and similar technologies to support basic functionality and analytics. Types of cookies we use:

Ukemi Health Partners is a movement education company. All content on this Site — including program descriptions, instructional materials, videos, blog posts, handouts, and the Protection Pathway curriculum — is provided for general educational and informational purposes only.
Nothing on this Site is intended to substitute for professional medical advice, physical therapy, occupational therapy, or other licensed healthcare services. Ukemi Health Partners is not a healthcare provider, and participation in our programs does not create a provider-patient relationship of any kind.
2. Consult Your Physician
Before beginning any movement, exercise, or fall-reflex training program — including any program offered by Ukemi Health Partners — you should consult with your personal physician or a qualified healthcare professional, particularly if you:
- Have a known cardiovascular, musculoskeletal, neurological, or balance-related condition
- Are recovering from an injury, surgery, or illness
- Take medications that may affect balance, coordination, or blood pressure
- Have experienced recent falls or have a diagnosed fall-risk condition
- Have any other health concern that may be affected by physical activity
Ukemi Health Partners instructors may ask participants to provide physician clearance prior to participation. Such clearance does not relieve participants of the responsibility to disclose relevant health information to our staff.
3. Assumption of Risk
Physical activity carries inherent risks, including risk of injury. Our programs are designed with safety as the highest priority, but no program can eliminate risk entirely. Participants engage in Ukemi Health Partners programming voluntarily and assume responsibility for their own safety and well-being consistent with the signed Participant Waiver.
4. Emergency Situations
Ukemi Health Partners instructors are CPR/AED certified and trained to respond to emergencies during in-person sessions. However, this does not constitute a guarantee of medical care or a medical standby service.
5. No Endorsement of Third-Party Content
Links or references to third-party websites, research, products, or organizations do not constitute an endorsement by Ukemi Health Partners. We make no representations regarding the accuracy or completeness of third-party content.
6. Results Disclaimer
Individual results from participation in Ukemi Health Partners programs will vary. Testimonials, case examples, and program descriptions reflect individual experiences and are not guarantees of similar outcomes. Progress depends on individual health status, consistent participation, and other factors outside our control.

1. Parties
This Participant Waiver and Release of Liability Agreement ("Agreement") is entered into between Ukemi Health Partners ("Ukemi," "we," "us," or "our"), located in Northern Virginia, and the undersigned individual ("Participant").
2. Description of Activities
The Participant desires to participate in activities offered by Ukemi Health Partners, including but not limited to:
- Fall reflex training and protective movement education
- Ground-level mat-based exercises (Protection Pathway Levels 1–4)
- Balance, mobility, and biomechanics instruction
- Group classes, workshops, seminars, and community events
- Mobile programming conducted via the MAT-Mobile at partner locations
- Any other supervised or instructed activity provided by Ukemi Health Partners
(collectively, the "Activities")
3. Assumption of Risk
The Participant acknowledges that physical activity, including the Activities described above, carries inherent risks including the possibility of physical injury, accident, or aggravation of pre-existing conditions. The Participant voluntarily accepts and assumes all such risks, whether arising from the negligence of Ukemi Health Partners, its instructors, agents, or employees, or otherwise.
The Participant affirms that they are in sufficiently good physical and mental health to safely engage in the Activities and have been advised to consult a physician prior to participation.
4. Waiver & Release of Claims
The Participant hereby expressly waives and releases any and all claims, whether now known or hereafter known, against Ukemi Health Partners, its owners, instructors, employees, agents, volunteers, and affiliated partner organizations (collectively, "Releasees"), arising out of or attributable to the Participant's participation in the Activities, including claims arising from the negligence of the Releasees.
The Participant agrees not to bring any legal action, claim, or proceeding against the Releasees in connection with any injury, loss, or damage arising from participation in the Activities, and forever discharges the Releasees from liability under such claims.
5. Indemnification
The Participant agrees to indemnify, defend, and hold harmless the Releasees from any and all claims, actions, costs, expenses, damages, and liabilities — including reasonable attorneys' fees — brought as a result of the Participant's involvement in the Activities or any breach of this Agreement.
6. Participant Responsibilities
Health Disclosure
The Participant agrees to disclose to Ukemi Health Partners any health conditions, injuries, disabilities, or medications that may affect their safe participation in the Activities. The Participant accepts responsibility for updating this information as their health status changes.
Inspection of Environment
The Participant acknowledges their responsibility to inspect the mat, equipment, and facility area prior to participation. If the Participant believes any condition is unsafe or beyond their ability, they agree to immediately notify their instructor and refrain from participation until the condition is corrected.
Compliance with Instructions
The Participant agrees to follow all instructor guidance and program rules, to progress only at a pace appropriate to their individual ability, and to respect the safety of other participants.
7. Medical Authorization
In the event of injury or medical emergency during participation in the Activities, the Participant authorizes Ukemi Health Partners and its agents to take reasonable steps to obtain emergency medical assistance, including contacting emergency services (911) and the Participant's emergency contact. The Participant agrees to be financially responsible for any medical care obtained and waives any claim against Ukemi Health Partners for facilitating such care in good faith.

8. Photo & Media Release
The Participant grants Ukemi Health Partners the right to photograph, video-record, and otherwise capture their image and likeness during Activities for use in educational, promotional, and marketing materials across any media, including print and digital platforms, without further compensation. The Participant may opt out of this release by providing written notice to Ukemi Health Partners prior to participation.
9. Minor Participants
If the Participant is under the age of 18, the parent or legal guardian must execute this Agreement on the Participant's behalf. The parent or legal guardian represents that they have full legal authority to do so and acknowledge that they have read and understood all terms herein.
10. Governing Law, Venue & Arbitration
This Agreement shall be governed by the laws of the Commonwealth of Virginia. Any dispute arising out of or relating to this Agreement or the Activities shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Prince William County, Virginia.
Class Action Waiver: The Participant waives any right to participate in a class action or collective proceeding. All disputes shall be resolved on an individual basis.

11. Severability

The Participant acknowledges that they have read this Agreement in its entirety, understand its terms, and are voluntarily entering into it with full awareness of the rights being waived. The Participant signs this Agreement freely and without duress.
